Terms of service
The plain-language frame: you own your documents and your work, you pay for the plan you chose, the AI's output is a draft you verify — and your bid is yours.
1. The agreement
These terms govern use of Tender Helper (the software at app.tenderhelper.ca and this site), a sole proprietorship operated by Bailey Irving, based in Ottawa, Ontario, Canada. By creating an account or using the service you accept them on behalf of yourself and, if you sign up for a company, that company. Tender Helper is a professional tool for businesses, not a consumer product. You must be at least 18, and have the authority to bind the business you're signing up on behalf of, to use the service.
2. Accounts and seats
You're responsible for the accuracy of your account information, the confidentiality of your credentials, and the actions of every seat added under your organisation. The account owner can add, deactivate, and reactivate the organisation's other users; deactivating a seat ends that person's access without touching the organisation's data.
3. Your content
The documents you upload and the work you produce — scope items, review decisions, takeoff measurements, exports — are yours. You grant us only the licence needed to operate the service on them: storing them, processing them through the AI providers named in the privacy policy, and displaying them back to your organisation. You're responsible for having the right to upload what you upload; a tender package is typically distributed to you for the purpose of bidding, and using it in an estimating tool for that bid is what this service is for.
4. AI output is a draft — the bid is yours
Tender Helper reads tender documents and produces a draft scope of work, with a citation to the source document and page on every item, precisely so each one can be checked. It will sometimes miss things and sometimes rank things wrong. It is not professional advice, not an estimate, and not a substitute for reading the documents. The estimator, not the software, is responsible for what goes into a bid, and we are not liable for the outcome of any tender, bid, contract, or project decision made using the service's output.
5. Plans, billing, and cancellation
- Prices are in Canadian dollars, billed monthly or annually through our payment processor. Card details are entered on their own secure pages and never touch our servers.
- A discounted first-purchase rate may be offered at checkout (for example, a reduced price for an initial period). Unless stated otherwise at checkout, standard monthly or annual pricing applies automatically from the next renewal — no separate action is needed on your part, and none is required from us beyond what's disclosed at checkout.
- Plan changes are made from Manage billing and take effect with proration handled by our payment processor. Cancellation is available there too, takes effect at the end of the period you've paid for, and there are no partial-period refunds except where the law requires one.
- AI features are subject to your plan's monthly usage budget and per-document limits. When a budget is spent, AI processing pauses until the next month — everything already produced stays readable, and nothing is deleted.
- Prices may change with at least 30 days' notice; a change applies from your next renewal, never mid-period.
6. The trial
The free trial is 14 days, full product, no card. When it ends without a plan, the account goes read-only: everything stays readable and exportable, and the original PDFs are removed 30 days later with an email warning first. Your produced work — scope of work, citations, takeoff measurements — is kept regardless. One free AI tender read per account requires a verified email address.
7. Acceptable use
Use the service lawfully and as intended. Don't upload content you have no right to use; don't probe, scan, or test the security of the service except with written permission; don't resell access, share seats between people, or use automated means to extract the service's functionality; don't use the service to build a competing dataset or product.
8. Indemnification
You agree to indemnify and hold Tender Helper harmless from any claim, liability, damages, loss, or expense (including reasonable legal fees) arising out of or connected with your breach of these terms, content you upload that you don't have the right to use, or your violation of any law or a third party's rights. This obligation survives closing your account.
9. Availability
We run the service with commercially reasonable care, including automatic daily database backups taken by our database provider, but it is provided without an uptime guarantee or a backup/recovery SLA. Maintenance happens; we keep it short and, where practical, announced. We're not responsible for delays or failures caused by events outside our reasonable control, including outages at our infrastructure or AI providers.
10. Termination
You can cancel at any time (section 5). We may suspend or terminate an account for material breach of these terms — for abuse, non-payment, or unlawful use — with notice where practicable. On termination the read-only export window in section 6 applies, and you can ask for full deletion under the privacy policy.
11. Our property
The software, its models of working, and this site are ours or our licensors'. Feedback you choose to give us may be used to improve the product without obligation. Nothing in these terms transfers any intellectual property in either direction beyond the licences stated.
12. Disclaimers and limitation of liability
Except as stated in these terms, the service is provided "as is", without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, our total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special, or consequential damages — including lost profits and lost bids (see section 4). This limit does not apply to damages caused by our gross negligence, wilful misconduct, or fraud, or to your indemnification obligations under section 8. Nothing in these terms excludes liability that cannot be excluded under applicable law.
13. Severability and general provisions
If any part of these terms is found unenforceable, the rest stays in effect. These terms, together with the privacy policy, are the entire agreement between us about the service. Our failure to enforce a provision isn't a waiver of it. You may not assign these terms or your account without our written consent; we may assign them in connection with a merger, acquisition, or sale of the business. These terms create no rights for anyone other than you and us, including individual users under your organisation's account.
14. Changes to these terms
If these terms change materially, account owners are notified by email at least 30 days before the change takes effect. Continued use after that date means the new terms apply.
15. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and disputes belong to the courts of Ontario.
